1. Provider and scope
These Terms govern use of Speartip, a service of iantix UG (haftungsbeschränkt), Kolonnenstraße 8, 10827 Berlin, Germany, registered at Amtsgericht Charlottenburg under HRB 284619 and represented by managing director Jannik Janket (we, us). They apply to speartip.eu and its related services, including vendor accounts, listings, launches, claims, verification, analytics and paid plans.
2. Public access and business services
Anyone may browse public pages. Accounts used to submit, claim, manage, promote or purchase services for a product or company are available only to entrepreneurs within Section 14 BGB, legal entities under public law and special funds under public law acting in their professional capacity. By creating or using such an account, you confirm this status. Consumer use of these business services is not permitted.
3. Contract formation
Public browsing does not create a contract. For a free account, your offer is made when you submit registration and accept these Terms; we accept it by activating the account after verification. For a paid service, your offer is made when you submit the Stripe-hosted order; we accept it when we confirm payment and activate or begin fulfilling the ordered service. An automated payment receipt alone is not acceptance. Individual offers or order forms take precedence over these Terms where they conflict.
4. Authority and account information
If you act for an organization, you confirm that you are authorized to perform the relevant action and bind that organization where applicable. You must provide accurate, current information, protect credentials, use individual accounts, and notify support@speartip.eu promptly of suspected compromise. You are responsible for authorized users under your control.
5. Service
Speartip provides product discovery, rankings, product and company pages, submission and launch tools, ownership claims, trust information, buyer requests, watchlists and vendor performance reports. Features and availability depend on the selected plan and current service description.
6. No guaranteed publication or result
Unless an individual agreement expressly says otherwise, there is no entitlement to publication, verification, a particular launch date, ranking position, reach, lead volume, conversion, availability of a feature or commercial result. Trust labels, votes, rankings and recommendations are informational signals, not legal, security, tax or procurement advice and not a guarantee of a vendor or product.
7. Ranking and paid differentiation
Ranking is determined by the factors and weighting described in our current Ranking Methodology at https://speartip.eu/en/ranking-methodology. Relevance, eligibility, quality, freshness, trust signals and valid engagement may affect ordering. Paid plans do not purchase organic votes or a guaranteed organic rank. Sponsored or otherwise paid visibility is identified as such and may receive clearly described presentation or scheduling benefits.
8. Changes to ranking
We may improve ranking, fraud controls and eligibility rules to preserve relevance, integrity and service quality. We disclose material changes to the main ranking parameters through the Ranking Methodology or an appropriate notice before they take effect.
9. User content and responsibility
You remain responsible for listings, claims, files, logos, evidence, links, company and product data, messages and other material you provide. You warrant that it is accurate in all material respects, lawful, not misleading, and that you hold and will maintain all rights, licences and organizational authority needed for the uses expressly described in these Terms. You must keep managed information current and notify legal@speartip.eu promptly if your authority or a relevant right ends. A claim or account relationship grants management access; it does not transfer intellectual-property ownership in either direction.
10. Published-content licence
For content that you submit for public publication, including product and company descriptions, logos, brand names, images, links, statements and structured listing fields (Published Content), you grant us a non-exclusive, worldwide right, for known forms of online use and without separate remuneration as part of the contractual exchange, to store, reproduce, make publicly available, communicate, distribute, cache, technically process, format, resize, non-materially crop, excerpt, translate, classify, combine with listing metadata and display that Published Content. We may exercise this right only to operate, secure, index, maintain, editorially present, improve and promote Speartip, its directory and the relevant listing through Speartip pages, search results, previews, newsletters, social channels and other disclosed Speartip distribution channels. We may grant processors and distribution service providers the necessary downstream rights solely for those purposes; we do not receive ownership and may not sell or license Published Content as a stand-alone content product. The right for Published Content begins on submission and continues for as long as we maintain the content in a public listing, including after account closure or contract termination; it ends prospectively when we permanently remove that content from the public directory, subject to expiring caches and backups, legal retention and proportionate evidence preservation. Unpublished drafts, private communications and material clearly submitted as confidential verification evidence are excluded from public use and are retained only for the applicable review, security, legal or deletion period. Your and any author’s mandatory moral rights, recall rights and statutory remuneration claims remain unaffected.
11. Feedback
If you voluntarily provide product feedback or suggestions, we may use them without restriction or payment, provided we do not identify you publicly without permission or disclose your confidential information.
12. Prohibited use
You must not submit illegal, infringing, deceptive, discriminatory, defamatory or malicious content; manipulate votes, rankings, reviews or traffic; impersonate others; scrape or access the service contrary to technical restrictions or applicable law; introduce malware; probe or bypass security; misuse personal data; send unsolicited communications; or use the service in a way that impairs others or our infrastructure.
13. Content moderation rules
We may investigate content or conduct and, using proportionate measures, reject, demote, label, restrict visibility, remove content, suspend functions or accounts, or terminate service where we reasonably consider this necessary because of illegality, rights violations, deception, manipulation, security risk, non-payment, these Terms, or the quality and integrity of the platform. We consider the nature, gravity, frequency and impact of the issue, the user’s conduct and any relevant rights and legitimate interests. We do not use solely automated systems to make binding moderation decisions.
14. Notice and action
legal@speartip.eu is our single electronic contact point under Articles 11 and 12 of Regulation (EU) 2022/2065 and our illegal-content notice route. Notices should identify the exact URL or item, explain why it is alleged to be illegal, include the notifier’s name and email except where legally unnecessary, and contain a good-faith statement that the information is accurate and complete. We acknowledge and process sufficiently precise notices promptly and objectively. Communication is available through this electronic route.
15. Statements of reasons and complaints
Where required, affected users receive a clear statement of reasons for restrictions and information about available remedies. A business user may complain free of charge to legal@speartip.eu about a moderation decision, technical issue, measure affecting its account, or our compliance with these Terms. We review complaints diligently and communicate the outcome. Court and statutory authority remedies remain unaffected.
16. Repeated misuse
We may suspend processing of notices from persons who frequently submit manifestly unfounded notices and may suspend users who frequently provide manifestly illegal content, after an appropriate prior warning and case-specific assessment as required by law.
17. Verification, claims and editorial independence
Verification confirms only the checks expressly described at the time. It is not certification or continuous monitoring. A successful claim identifies the business account authorized to manage a listing; it is neither ownership of the listing record nor an exclusive right to publication. You must cooperate, provide authentic evidence and inform us if verified facts materially change. We may re-review, mark stale, downgrade or withdraw a claim or verification status where evidence expires, the managing relationship ends, information becomes unreliable or new information conflicts. An unclaimed listing may remain available and may later be claimed through the then-current verification process.
18. Confidential information
Each party must protect non-public information identified as confidential or reasonably understood to be confidential and use it only for the contractual purpose. This does not cover information already lawfully known, public without breach, independently developed, or lawfully received from a third party. Legally compelled disclosure is permitted with advance notice where lawful.
19. Plans, prices and taxes
Prices, billing interval, included features, minimum term, renewal and taxes are shown before ordering. Public euro prices are net prices and exclude applicable VAT. Paid plans are offered only to the business customers defined in Section 2 whose billing establishment is in the European Union. German customers are charged German VAT. A customer established in another EU member state must provide a matching EU VAT ID that we can verify before ordering; reverse charge applies where its legal conditions are met. Pending, unverified or expired VAT IDs, consumer orders and billing addresses outside the EU are not supported. Stripe Checkout calculates the displayed tax from the supplied and verified information. iantix UG remains the seller, determines the legally applicable treatment and issues the invoice. The buyer remains responsible for taxes it must self-account. We may correct a calculation where legally required and provide a corrected invoice. We may change prices for a future renewal period with advance notice and a termination option where required; an existing prepaid period is not retrospectively changed.
20. Payment processing and renewal
iantix UG is the contracting seller and merchant for paid Speartip services. Stripe processes payment, hosts checkout and the billing portal, and provides tax-calculation and invoicing infrastructure; Stripe is not the seller or merchant of record for these orders. Stripe’s service and privacy terms govern its own payment interface and processing in addition to these Terms. Recurring plans renew for the displayed period until cancelled effective at the end of the current paid period, unless the order states otherwise. Cancellation, payment-method management and invoice access are available through the Stripe-hosted customer portal or through support@speartip.eu.
21. Payment default
Amounts are due as stated in checkout. If payment fails or remains due after notice, we may suspend paid features, downgrade the plan or terminate the affected service, without limiting statutory claims. You may set off or withhold only with undisputed or finally adjudicated claims, except where mandatory law provides otherwise.
22. Availability and maintenance
We operate the service with reasonable professional care but do not promise uninterrupted or error-free availability unless a service level is expressly agreed. Maintenance, security action, force majeure and failures outside our reasonable control may temporarily restrict service. We may deploy security-critical changes without advance notice.
23. Service changes
We may change features where reasonably necessary for security, legal compliance, interoperability, performance, abuse prevention or product development. We will not remove the essential value of a current paid period without an appropriate remedy. Every business user receives at least 15 days’ notice of changes to these Terms; a longer period applies where technical or commercial adaptation reasonably needs more time. Statutory exceptions, including urgent legal or security changes, remain unaffected.
24. Term and termination by you
Free account services run for an indefinite term and may be terminated at any time through the available account-closure control or by a clear request to support@speartip.eu. Paid plans have the term shown at order and can be cancelled for the end of that term through the Stripe-hosted customer portal or stated contact route. Account closure does not replace cancellation of a separately administered paid subscription unless the closure flow expressly confirms that cancellation. The right to terminate for cause remains unaffected.
25. Suspension and termination by us
We may terminate free service with reasonable notice. We provide every business user with the reasons at least 30 days before terminating the entire service unless a statutory exception permits immediate action. We may suspend or terminate immediately for material breach, illegality, danger to systems or others, fraud, repeated manipulation, or where law or a binding authority order requires it. Where practicable and appropriate, we first allow a cure.
26. Account closure and the public listing
When termination takes effect, account access, listing-management authority and paid features end. We remove or de-identify personal account links and private account and review data according to the Privacy Notice, while statutory records and proportionate legal evidence may remain restricted. Approved product and company records do not form part of the personal account and are not automatically deleted: they may remain as unclaimed, independently maintained editorial listings, including Published Content licensed under Section 10 and information verified or obtained from public sources. We may correct, supplement, reclassify, label, reduce or remove that listing under our editorial and moderation rules. Closure does not imply continued vendor endorsement. Correction, intellectual-property, trademark, personal-data and illegality requests remain available without an account or paid plan. Accrued payment claims and provisions intended to survive remain effective.
27. Data access and distribution
During the account relationship, business users can access their available account information, submitted content, listing-management tools, claim and review status, billing or entitlement status and any aggregate performance information included in their plan. Speartip has access to those categories and to service, security, moderation and aggregate platform data as needed to operate the service. Business users receive no person-level visitor data, confidential data of other users or unrestricted platform dataset. After termination, the former business user has no technical account access; Speartip retains access only to the unclaimed editorial listing and Published Content described in Sections 10 and 26, anonymised or aggregate data, and records retained under the Privacy Notice. Information needed for the business user’s records should be copied using the then-available functions before closure or requested through an applicable statutory access route; no separate automated export is promised. Listings may be distributed through Speartip pages and feeds, direct links and previews, search-engine indexing, and Speartip editorial, newsletter and social channels. We operate no additional affiliate programme for listing content unless one is separately disclosed. We do not sell personal data.
28. Our intellectual property
Speartip software, design, branding, original editorial text, classifications, taxonomies, selection and arrangement, databases and documentation are protected. To the extent statutory requirements are met, iantix UG is the database producer. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service during the contract. Individual company or product facts do not become our property merely because they are recorded; no source-code, Speartip trademark or database right is transferred to you, and Sections 9 and 10 do not transfer your underlying intellectual-property ownership to us.
29. Third-party services and links
External sites, identity providers, payment services and vendor offerings are governed by their operators. Links do not mean endorsement or adoption of their content. Mandatory responsibility for our own conduct and statutory notice obligations remains unaffected.
30. Indemnity
To the extent permitted in a business-to-business relationship, you indemnify us against substantiated third-party claims, reasonable defence costs and losses caused by your culpable unlawful content, infringement of third-party rights, or material breach of Sections 4, 9 or 12. We will notify you promptly, allow reasonable participation in the defence, and will not settle an indemnified claim unreasonably without consulting you.
31. Liability
We are liable without limitation for intent, gross negligence, injury to life, body or health, fraudulent concealment, assumed guarantees and mandatory liability, including the Product Liability Act. For slight negligence, we are liable only for breach of an essential contractual duty and only up to the foreseeable damage typical for the contract. Otherwise liability for slight negligence is excluded. These limits also apply to our officers, employees and agents and do not alter the statutory burden of proof.
32. Force majeure
Neither party is liable for delay caused by events outside its reasonable control, including major network or utility failure, attack, epidemic, labour dispute, natural event, war or binding government action, provided the affected party mitigates the impact and resumes performance reasonably promptly.
33. Data protection
We process personal data as described in the Privacy Notice. Account closure and an objection to continued editorial processing are distinct requests and are assessed under their respective legal rules. Where we process personal data on your behalf as a processor, a separate data processing agreement applies. You must not upload special-category, criminal-offence or other high-risk personal data unless expressly agreed and protected by an appropriate legal basis and safeguards.
34. Communications
Contractual notices may be sent to the current account email or displayed in the account. You must keep contact information current. Legal notices to us should be sent to legal@speartip.eu; ordinary support requests to support@speartip.eu.
35. Assignment and subcontracting
You may not assign the contract without our prior consent, which will not be unreasonably withheld for a transfer of the relevant business. We may use subcontractors and transfer the contract as part of a corporate reorganization or transfer of the relevant business, provided this does not reduce your material rights. Section 354a HGB remains unaffected.
36. Governing law, uniform standard and venue
German law, including directly applicable European Union law, applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The contractual EU and German protections stated in these Terms apply uniformly to supported business users established in the European Union; the billing restriction in Section 19 remains unaffected. Overriding mandatory law and mandatory venues remain unaffected. If you are a merchant, public-law entity or public-law special fund, the exclusive venue is Berlin; we may also sue at your general venue.
37. Final provisions and language
Failure to enforce a provision is not a waiver. Individual agreements require evidence in text form; priority of individual agreements under Section 305b BGB remains unaffected. If a provision is invalid, statutory law replaces it and the remainder continues to apply. The German version controls in case of inconsistency; translations are provided for convenience.
